1. DEFINITIONS
1.1 “Platform” means the InventreeFY software application, website, mobile applications, subdomains, minisites, tools, and related services.
1.2 “Company”, “InventreeFY”, “We”, “Us”, “Our” refers to InventreeFY Solutions Pvt Ltd, incorporated in India.
1.3 “User” means any individual or business entity that registers on or uses the Platform.
1.4 “Viewer” means any person accessing catalogs or minisites without registering on the Platform.
1.5 “Content” means all data uploaded by Users, including images, product details, pricing, descriptions, logos, text, and customer information.
2. PLATFORM ROLE & NATURE OF SERVICE
2.1 InventreeFY is a technology platform only that enables Users to create and share digital catalogs and minisites.
2.2 InventreeFY:
- Is not a marketplace
- Is not a seller
- Is not a buyer
- Is not an agent
- Is not a payment intermediary
2.3 All products, services, representations, pricing, transactions, and customer interactions are solely between the User and their customers.
2.4 Hosting catalogs or minisites on InventreeFY subdomains does not imply ownership, control, verification, or endorsement by InventreeFY.
3. ELIGIBILITY & ACCOUNT REGISTRATION
3.1 Users must be legally capable of entering binding contracts under applicable law.
3.2 Businesses confirm they are duly registered and authorized to conduct their activities.
3.3 Users are responsible for maintaining the confidentiality of login credentials.
3.4 InventreeFY may suspend or terminate accounts providing false, misleading, or incomplete information.
4. USER CONTENT & RESPONSIBILITY
4.1 Users retain ownership of their Content.
4.2 Users represent and warrant that:
- They own or are licensed to use all Content
- Content does not infringe intellectual property rights
- Content complies with all applicable laws
4.3 InventreeFY does not:
- Verify Content accuracy
- Validate pricing or claims
- Guarantee legality or authenticity
4.4 Users bear sole responsibility for all Content and consequences arising from its use or publication.
5. PROHIBITED USES
Users shall not:
- Upload illegal, infringing, obscene, or misleading content
- Sell prohibited or restricted goods
- Misrepresent identity or ownership
- Circumvent platform limits or security
- Reverse engineer or scrape the Platform
InventreeFY reserves the right to remove Content or suspend access without notice if required by law or policy.
6. SUBSCRIPTIONS, FREEMIUM & AUTO-RENEWAL
6.1 InventreeFY offers freemium and paid subscription plans with feature limits.
6.2 Freemium access is:
- Limited
- Non-guaranteed
- Subject to change or withdrawal
6.3 Paid subscriptions:
- Auto-renew unless cancelled before renewal
- Are billed in advance
6.4 Refund Policy
- Monthly plans: No refund after trial
- Annual plans: Refunds only at InventreeFY’s sole discretion
- No refunds once features are used or limits consumed
7. PAYMENTS & PAYMENT GATEWAYS
7.1 Users may integrate their own payment gateways.
7.2 InventreeFY:
- Does not collect, store, or process payments
- Does not issue refunds
- Does not handle chargebacks or disputes
7.3 All payment-related matters are strictly between Users and their customers.
8. VIEWERS & END CUSTOMERS
8.1 Viewers interact directly with Users.
8.2 InventreeFY bears no responsibility for:
- Product quality
- Delivery
- Warranty
- Refunds
- Misrepresentation
- Payments or disputes
9. DATA & PRIVACY
9.1 Users act as Data Controllers; InventreeFY acts as a Data Processor.
9.2 Users are responsible for compliance with data protection laws applicable to their customers.
9.3 InventreeFY’s data handling is governed by its Privacy Policy.
10. INTELLECTUAL PROPERTY
10.1 InventreeFY owns all rights to:
- Platform software
- UI/UX
- Templates
- Branding
10.2 Users receive a limited, non-exclusive, non-transferable license to use the Platform.
11. SUSPENSION & TERMINATION
11.1 InventreeFY may suspend or terminate access:
- For violation of these Terms
- For legal or regulatory reasons
- For non-payment
11.2 Termination does not waive payment obligations already incurred.
12. LIMITATION OF LIABILITY
12.1 InventreeFY is not liable for:
- Loss of business or profits
- Data loss
- Content errors
- Customer disputes
- Payment failures
- Downtime
12.2 Maximum liability, if any, shall not exceed fees paid in the last 3 months or INR 10,000, whichever is lower.
13. INDEMNITY
Users agree to indemnify and hold harmless InventreeFY from any claims arising from:
- Uploaded Content
- Transactions
- Legal or regulatory violations
- Customer disputes
14. FORCE MAJEURE
InventreeFY is not liable for delays or failures due to events beyond reasonable control.
15. GOVERNING LAW & JURISDICTION
15.1 These Terms are governed by the laws of India.
15.2 Courts at Jodhpur, Rajasthan shall have exclusive jurisdiction.
16. GLOBAL USE
Users accessing the Platform from outside India do so at their own risk. Indian law governs all usage.
17. MODIFICATIONS
InventreeFY may update these Terms from time to time. Continued use constitutes acceptance.
